Effective May 6, 2019, the Board of Directors of Landec Corporation (the “Company”) adopted an amendment to Section 2.5(a) of the Company’s By-Laws (the “Amendment”). The Amendment extends, to 5:00 p.m. PT on May 29, 2019, the date by which nominations of persons for election to the Board and/or business proposals may be submitted with respect to the 2019 Annual Meeting of Stockholders
and included in the Company’s related proxy statement and form of proxy. A copy of the Amendment is attached hereto as Exhibit 3.1 and incorporated herein by reference.
