Executive Summary Engagement Overview, Proposed Transaction, and Determinations Engagement Overview Lincoln International LLC ('Lincoln") has bean engaged to serve as financial advisor to the Special Committee of the Board of Directors (the 'Committee") of Asta Funding, Inc. ('Astar or the to (i) provide customary financial and valuation advisory services to the Committee to assist it in evaluating and, if requested by tha Committee, negotiating the Proposed Transaction (as described below), and (ii) upon request by the Committee, render to it a written opinion, as described below. Proposed Transaction It is Lincoln's understanding that the Proposed Transaction involves the offer made by Gary Stern, the Chairman and Chief Executive Officer (the 'CEO") of the Company to acquire the shares of common stock of the Company not owned by the CEO or his family (the 'Public Shares" and such holders, the 'Public Shareholders") through a merger transaction in which tha Public Shares will be converted into the right to receive cash consideration of [S11_06] per share (the 'Consideration", and such transaction, the 'Proposed Transaction").
