Item 8.01 Other Events.
On May 4, 2007, the Company issued a joint press release with Citadel Investment Group, L.L.C. and NBC Universal, Inc. announcing that the Company, an affiliate of Citadel, and NBC Universal have entered into an agreement for a comprehensive recapitalization of the Company.
The text of the press release is attached hereto as Exhibit 99.1. Exhibit 99.1 shall not be deemed "filed" for purposes of Section 18 of the Exchange Act, or incorporated by reference in any filing under the Securities Act or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.
