Item 1.01.			Entry into a Material Definitive Agreement.

On May 10, 2023, The Mosaic Company (the “Company”) entered into a first amendment (the “Amendment”) to its Credit Agreement, dated as of August 19, 2021 (as amended, the “Credit Agreement”), among the Company, as borrower, Bank of America, N.A., as Administrative Agent, Swing Line Lender and L/C Issuer, and certain other lenders and L/C Issuers party thereto. The Amendment includes certain modifications to the Credit Agreement relating to the replacement of the London Inter-Bank Offered Rate with a Secured Overnight Financing Rate as the interest rate benchmark under the Credit Agreement.

The foregoing description of the Amendment does not purport to be complete and is qualified in its entirety by reference to the complete text of the Amendment, a copy of which is attached to this Current Report on Form 8-K as Exhibit 10.1 and incorporated herein by reference.
