Item 2.03. Creation of a Direct Financial Obligation or an
Obligation Under an Off-Balance Sheet Arrangement of a Registrant.
On May 11, 2022, Franklin Electric Co., Inc. (the "Company") entered into Amendment No. 1 to the Fourth Amended and Restated Credit Agreement among the Company, Franklin Electric B.V., a Netherlands private company with limited liability (“Franklin B.V”, and together with the Company, collectively, the “Borrowers”), JPMorgan Chase Bank, N.A. (“JPMorgan”), as administrative agent, and Bank of America, N.A., as Syndication Agent, and the lenders identified therein (the “Fourth Amended and Restated Credit Agreement”).
Under Amendment
No. 1, among other changes, total commitments from lenders under the revolving credit facility governed by the Fourth Amended and Restated Credit Agreement was increased to $350,000,000 from $250,000,000. Amendment No. 1 also replaced the LIBOR benchmark provisions in the Fourth Amended and Restated Credit Agreement with SOFR benchmark provisions.
The Amendment No. 1 to the Fourth Amended and Restated Credit Agreement is subject to a number of conditions, and the description of the Amendment No 1. herein is qualified in its entirety and is incorporated herein by reference to Exhibit 10.1.
