Due in part to the current outbreak of COVID-19 and various measures taken by local and national authorities to combat such outbreak, the timely filing of the Form 10-K for the fiscal year ended December 31, 2019 was impracticable without undue hardship and expense to the registrant. The Company plans to file such Form 10-K within the fifteen-day extension period.
