Item 8.01. Other Events.

 

On April 5, 2024, Global Partner Sponsor II LLC, a Delaware limited liability company (the “Sponsor”) converted 7,400,000 of Global Partner Acquisition Corp II’s (“GPAC II” and the “Company”) Class B ordinary shares, par value $.0001 per share (the “Class B Ordinary Shares”), into Class A ordinary shares, par value $.0001 per share (the “Class A Ordinary Shares”) of the Company, on a one-for-one basis. The Sponsor waived any right to receive funds from the Company’s trust account with respect to the Class A Ordinary Shares received upon such conversion and acknowledged that such shares will be subject to all of the restrictions applicable to the Class B Ordinary Shares under the terms of that certain letter agreement, dated as of January 11, 2021, by and among the Company and its officers, its directors and the Sponsor (as amended). Following the conversion, the Company has a total of 9,194,585 Class A Ordinary Shares and 100,000 Class B Ordinary Shares outstanding.
