EXPLANATORY NOTE

 

This registration statement is being filed by the registrant in accordance with the requirements of Form S-8 in order to register 5,000,000 ordinary shares, par value of $0.001 (“Ordinary Shares”) of MingZhu Logistics Holdings Limited 明珠货运控股有限公司 (the “Company”) issuable pursuant to the 2024 incentive equity plan of the Company (the “2024 Incentive Plan”) adopted by the Board of Directors of the Company.

The Registrant’s articles of association provide that to the extent permitted by law, each officer or director of the Registrant shall be indemnified against all actions, proceedings, costs, charges, expenses, losses, damages or liabilities incurred or sustained by such directors or officer in or about the conduct of the Registrant’s business or affairs or in the execution or discharge of his duties, powers, authorities or discretions, including without prejudice to the generality of the foregoing, any costs, expenses, losses or liabilities incurred by such director or officer in defending (whether successfully or otherwise) any civil, criminal, administrative or investigative proceedings (whether threatened, pending or completed) concerning the Registrant or its affairs in any court or tribunal, whether in the Cayman Islands or elsewhere. However, no such director or officer of the Registrant shall be indemnified in respect of any matter arising out of his own dishonesty.

 

The registrant currently does not carry liability insurance for its directors and executive officers.
