RE:	Charles Schwab Investment Management, Inc.

Ladies and Gentlemen:

Reference is made to the Sub-Administration Agreement between us dated as of October 1, 2005, as amended and supplemented (the “Agreement”). Pursuant to the Agreement, this letter is to provide notice of:

(1)	creation of Schwab 1-5 Year Corporate Bond ETF, Schwab 5-10 Year Corporate Bond ETF, and Schwab Long-Term U.S. Treasury ETF

In accordance with the Section 1 of the Agreement, we request that you act as Sub-Administrator with respect to the each of the noted ETFs. A revised Appendix A to the Agreement and a revised Annex I to the Amendment dated June 29, 2018 are attached hereto. In connection with such request, we confirm to you, as of the date hereof, the representations and warranties set forth in Section 4 of the Agreement.

Please indicate your acceptance of the foregoing by executing two copies of this letter, returning one to us and retaining one copy for your records.
