Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

On December 23, 2019, Robert N. Stephens submitted his resignation from the Board of Directors of II-VI Incorporated (the “Company”) and all committees thereof, which resignation was accepted by the Board of Directors of the Company effective December 31, 2019. To the Company’s knowledge, Mr. Stephens did not resign as a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
