AMERICAN AIRLINES ANNOUNCES CLOSING OF PRIVATE OFFERING OF ENHANCED EQUIPMENT TRUST CERTIFICATES
FORT WORTH, Texas – American Airlines, Inc. (American), the principal operating subsidiary of AMR Corporation, today announced the closing of its private offering of American Airlines, Inc. Pass Through Certificates, Series 2013-2B (Class B Certificates) in the aggregate face amount of $512,038,000. The Class B Certificates will rank generally junior to the American Airlines, Inc. Pass Through Certificates, Series 2013-2A, which were originally issued on July 31, 2013.
The Class B Certificates were issued with an interest rate of 5.60% per annum and a final expected distribution date of July 15, 2020. The Class B Certificates represent an interest in the assets of a pass through trust, which holds certain equipment notes issued by American.
Such equipment notes are secured by 41 currently owned Boeing 737-823 aircraft, 14 currently owned Boeing 757-223 aircraft, one currently owned Boeing 767-323ER and 19 currently owned Boeing 777-223ER aircraft.
The Class B Certificates were offered to qualified institutional buyers, as defined in, and in reliance on, Rule 144A under the Securities Act of 1933, as amended (the Securities Act). The Class B Certificates have not been registered under the Securities Act or applicable state securities laws and may not be offered or sold absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state law.
