SUPPLEMENT TO PROXY STATEMENT FOR
2010 ANNUAL MEETING OF STOCKHOLDERS
This supplements our proxy statement filed with the Securities and Exchange Commission on April 20, 2010 (the “Original Proxy”), in connection with our 2010 Annual Meeting to be held on June 2, 2010.
The Original Proxy was filed with an incorrect number of shares of Common Stock referenced as outstanding as of the Record Date. A full reproduction of the applicable paragraph with such number corrected is as follows:
“Record Date and Share Ownership
Stockholders of record at the close of business on April 8, 2010 (the “Record Date”) are entitled to notice of and to vote at the meeting and at any adjournment(s) thereof. The Company has one series of common shares issued and outstanding, designated as Common Stock, $0.001 par value per share (the “Common Stock”) and one series of undesignated Preferred Stock, $0.001 par value per share (the “Preferred Stock”). As of the Record Date, 100,000,000 shares of Common Stock were authorized and 17,729,147 shares were issued and outstanding.
