PART III — NARRATIVE

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

“On March 30, 2012, Fidelity Bank (the “Bank”), the wholly owned banking subsidiary of Dearborn Bancorp, Inc. (the “Company”), was closed by its primary regulator the State of Michigan, Office of Financial and Insurance Regulation (“OFIR”), and the Federal Deposit Insurance Corporation (“FDIC”) was appointed as receiver for the Bank. This action followed the material adverse determination by OFIR and the FDIC that the Bank was “critically undercapitalized” and the inability of the Company to raise additional capital, arrange a strategic alliance or appeal or reverse this material adverse determination. The Bank was the Company’s principal asset, its assets are in the process of being sold and the Company does not expect to receive any recovery from the FDIC receivership. As a consequence of the FDIC receivership for the Bank, all of the Company’s material business activities have ceased and no material business activities are expected to be conducted in the future other than those that are consistent with the liquidation of the Company. In liquidation, we do not believe that there will be any assets available to the holders of capital stock of the Company.”
