(the “Company”), as included under the titles “Tax Consequences—Material Netherlands Tax Consequences”, “Tax Consequences—Material U.S. Federal Income Tax Consequences” and “The Ferrari Shares, Articles of Association and Terms and Conditions of the Special Voting Shares” in the Prospectus forming a part of the Registration Statement on Form F–1, as originally filed with the Securities and Exchange Commission (the “Commission”) on July 23, 2015 (Registration No. 333–205804), including exhibits, as amended to date and as may be subsequently amended from time to time (the “Registration Statement”), is hereby incorporated by reference.
