Eventbrite, Inc. (the “Registrant”) registers hereunder its Class A common stock, par value $0.00001 per share (the “Class A Common Stock”). A description of the Registrant’s Class A Common Stock is incorporated by reference herein from the information set forth under the heading “Description of Capital Stock” in the Registrant’s Registration Statement on Form S-1, as amended (File No. 333-226978) (the “Registration Statement”), confidentially submitted to the Securities and Exchange Commission (the “Commission”) on June 15, 2018 and publicly filed with the Commission on August 23, 2018, under the Securities Act of 1933, as amended (the “Securities Act”). The description of the Class A Common Stock included in any form of prospectus subsequently filed by the Registrant with the Commission pursuant to Rule 424(b) under the Securities Act shall be deemed to be incorporated by reference herein.
