Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 4, 2020, Commercial Metals Company (the “Company”) and Paul K. Kirkpatrick, Vice President, General Counsel and Corporate Secretary of the Company, mutually agreed that Mr. Kirkpatrick would separate from his position as an officer of the Company effective immediately and that his employment with the Company would terminate effective March 31, 2020 to allow for the orderly transition of Mr. Kirkpatrick’s duties.
