Hello Everyone. I wanted to share an update on the progress we’re making with our merger planning. From my view, everything is progressing extremely well. Chad Crow and I have had the opportunity to travel around to most of our overlapping markets these past few weeks to hold town hall meetings with local market leadership teams.

We’ve been in Texas, up and down the mid-Atlantic coast, down south in Atlanta, and most recently, out west, where we visited five cities in three days, spending time in California, Washington, Utah, and Colorado. In each market we’ve visited, both companies have specific strengths, and the combined company’s diversity will provide opportunities and deeper resources for growth to meet the needs of more customers in our highly fragmented building materials industry. Moreover, coming out of this merger, we anticipate significant opportunities for career development and empowerment to provide best-in-class service to customers and communities.

It also brought me great pride to show off all the hardworking BMC associates we have across the country, whose efforts are directly responsible for putting us in the successful position we’re in today. Both Chad and I really enjoyed getting to interact with you and also have the chance to answer many questions along the way. It’s important to me that we’re having as much two-way communication as possible. You have my commitment to relay information to you as it becomes appropriate to share it.

Some of you may have seen the 8-K we filed last week with respect to our antitrust filing under the Hart-Scott-Rodino Antitrust Improvement Act, a federal premerger notification program. We initially submitted our filing back on September 10th, and last week, we pulled that filing and resubmitted it.

I just want you to know that process is standard course as it’s not uncommon for the DOJ to need more than 30 days to decide on these types of complex deals. Pulling and re-filing provides an extra 30-day period for the regulatory authorities to review our filing.

And this additional 30-day period of time will expire on November 16th. By that point, we hope to have approval on the antitrust front. I would point out however, nothing is for sure unless and until we receive official notification from the authorities.

The other ball up in the air right now from a regulatory standpoint is with the Securities and Exchange Commission. A couple of weeks ago, we filed a preliminary version of what’s called a Form S-4, which contains financial data and information about the merger and the merger agreement. Our hope is to finalize and distribute this disclosure document to stockholders by early December.

Once we have the antitrust and SEC milestones I just described behind us, we will need stockholder approval of the merger, which both companies independently have to receive. In all, we believe we are still on track to close the transaction by the end of this year or early next year.


Again, everything that’s happening in the background right now regarding the merger planning process continues to be very positive. These things just take some time. I know a number of you are also interested in the go-forward organizational design. At this point, just know that we’re actively working on all of that and that decisions will start to be announced once the senior leadership team is finalized.

My expectation is that we will announce the senior leadership team of the go-forward company sometime after we receive regulatory approval and prior to the close of the merger, with more clarity on the rest of the organizational structure soon thereafter.

Until then, I couldn’t be more pleased with the progress we’re making as we continue to make significant strides towards WINNING TOGETHER AS 1! Keep up the great work and please continue to stay focused on our customers.
