Other Events.

On April 30, 2019, Gardner Denver Holdings, Inc. (“Gardner Denver”), Charm Merger Sub Inc., a newly formed, wholly owned subsidiary of Gardner Denver, Ingersoll-Rand plc (“Ingersoll Rand”), and Ingersoll-Rand U.S. Holdco Inc. entered into a definitive agreement pursuant to which Gardner Denver will combine with the Industrials business segment of Ingersoll Rand in an all-stock, Reverse Morris Trust transaction. On April 30, 2019, Gardner Denver and Ingersoll Rand issued a joint press release announcing the proposed transaction. A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
