(NYSE: WUBA) (“58.com” or the “Company”) is a publicly traded company that operates online marketplaces in China with a market capitalization of ~$7.8 billion as of June 9, 2020. The Company operates, through multiple platforms, online classifieds mark etp laces across the following content categories: housing and real estate, jobs, yellow page local services, automobiles and used goods. ¡ On April 2, 2020, the Company received a preliminary non - binding proposal from Ocean Link Partners Limited (“Ocean Link”), an af filiate of General Atlantic Service Company, L.P. (collectively with any affiliates, “General Atlantic”), to acquire all of the outstanding ordi nar y shares of the Company, including Class A ordinary shares represented by American depositary shares (“ADSs”, each representing two Class A ordinary s har es), for $27.50 in cash for each Class A or Class B ordinary share, or $55.00 in cash for each ADS (the “Initial Proposal”). ¡ On April 20, 2020, the Company announced that its Board of Directors (the “Board”) had formed a special committee (the “Speci al Committee”) consisting of two independent directors to evaluate and consider the Initial Proposal or any alternative strategic option tha t t he Company may pursue . Fenwick & West LLP is Special Committee counsel. ¡ On April 30, 2020, the Company received a revised preliminary non - binding proposal with an enlarged buyer group from Warburg Pincus Asia LLC (“Warburg Pincus”), General Atlantic Singapore Fund Pte.
