Explanatory Note:  On July 24, 2020, pursuant to the Agreement and Plan of Merger, dated as of June 10, 2020, by and among Finjan Holdings, Inc., a Delaware corporation (the “Company”), CFIP Goldfish Holdings LLC, a Delaware limited liability company (“Parent”), and CFIP Goldfish Merger Sub Inc., a Delaware corporation and direct, wholly owned subsidiary of Parent (“Merger Sub”), Merger Sub merged with and into the Company, with the Company surviving the Merger as a wholly owned subsidiary of Parent.
