As previously reported, on August 15, 2022, WiSA Technologies, Inc. (the “Company”) entered into a Securities Purchase Agreement by and between the Company and an institutional investor (the “Investor”), pursuant to which the Company agreed to issue to the Investor a senior secured convertible note in the principal amount of $3,600,000 (the “Convertible Note”). On April 11, 2023, the Company paid off the entirety of the outstanding balance of the Convertible Note in the amount of $1,656,744, which includes the unpaid principal, interest through the payoff date, and a pre-payment premium.
On April 14, 2023, the Company issued a press release with respect to the payment of the Convertible Note. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
