Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
Effective
June 16, 2022, Timothy Forrester, Chief Financial Officer of UWM Holdings Corporation (the “Company”), will commence a leave of absence for health reasons. The Company’s Board of Directors has designated Andrew Hubacker, Senior Vice President and Chief Accounting Officer, (Principal Accounting Officer), to serve as the interim principal financial officer for the Company, effective June 16, 2022, during Mr. Forrester’s leave.
Mr. Hubacker, 50, has served as the Company’s Senior Vice President and Chief Accounting Officer since October 2020. Previously,
Mr. Hubacker spent 18 years at Deloitte & Touche, LLP, most recently serving for over 12 years as an audit partner. In addition, Mr. Hubacker spent five years at AOL, LLC, in various roles within the accounting division, including Vice President, Assistant Controller and from 1999 through 2002, served as an Assistant Chief Accountant at the Securities and Exchange Commission. Mr. Hubacker holds a B.A. degree from Michigan State University and has been a Certified Public Accountant, State of Michigan since 1996.
There are no arrangements or understandings between Mr. Hubacker, on the one hand, and the Company or any other persons, on the other hand, pursuant to which Mr. Hubacker was selected as interim principal financial officer. There are no related party transactions between the
Company and Mr. Hubacker (or any of his immediate family members) requiring disclosure under Item 404(a) of Regulation S-K. Mr. Hubacker does not have any family relationships with any of the Company’s directors or executive officers.
