Item 2.02 Results of Operations and Financial Condition
On December 19, 2023, FactSet Research Systems Inc. ("FactSet" or the "Company") issued a press
release announcing its results for the three months ended November 30, 2023. A copy of the press release is furnished as Exhibit 99.1 hereto and incorporated by reference herein. The information furnished pursuant to this Item 2.02 (Results of Operations and Financial Condition), including Exhibit 99.1, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, and shall not be deemed to be incorporated by reference into any filing

Exhibit 99.1 to this Report contains certain financial measures that are considered non-GAAP financial measures as defined in the rules issued by the Securities and Exchange Commission (the "Commission"). The four nominees were elected to FactSet's Board of Directors. Robin A. Abrams, Malcolm Frank, and Laurie Siegel will serve as directors until the Company's 2025 Annual Meeting of Stockholders or until their respective successors are elected and qualified. Elisha Wiesel will serve as director until the Company's 2024 Annual Meeting of Stockholders or until his successor is elected and qualified. The other
