| Footnote - F1: In connection with certain agreements dated May 8, 2017 (the "Agreements"), and filed as Exhibits to the Schedule 13D filed by the Reporting Person on May 18, 2017, these shares were pledged as partial security for the repayment of loans made to the Reporting Person in connection with the Reporting Person's acquisition of such shares. The Reporting Person received a notice of default in connection with the Agreements and subsequently engaged in negotiations for a potential cure. Such negotiations were discontinued and these shares were subsequently transferred to the pledgee on May 3, 2019. |
