EXPLANATORY NOTE
This Amendment No. 1 to the Current Report on Form 8-K, originally filed by Six Flags Entertainment Corporation (the “Company”) with the Securities and Exchange Commission on September 22, 2022, amends Item 5.02 to provide information relating to an additional equity award grant.

(d)As previously reported by the Company, Derek Sample was appointed Chief Accounting Officer of the Company effective September 19, 2022. In connection with his appointment, on October 3, 2022, the Company granted to Mr. Sample performance stock units with a value of $80,000 pursuant to the Company’s Long-Term Incentive Plan. The performance stock units will vest in accordance with the achievement of the established performance goals.
