On November 30, 2022, Paul A. Mascarenas, a member of the Board of Directors (the “Board”) of BorgWarner Inc. (the “Company”), advised the Board that he was resigning from the Board effective December 1, 2022 due to potential conflicts of interest in light of his other board memberships and not as a result of any disagreement with the Company relating to its operations, policies or practices.
