Item 2.06 Material Impairments.

On May 4, 2022, The Council for the European Union approved Bulgaria’s National Recovery and Resilience plan which commits the country to cease electricity generation using coal as a fuel source by 2038. The plan is expected to prohibit The AES Corporation’s (“AES”) Maritza power plant in Bulgaria from operating beyond 2038. An analysis was performed, and it was determined that an impairment trigger had occurred. As a result, a reduction in the useful life was deemed appropriate and it was determined that the carrying value was not recoverable. In connection with these developments, on June 20, 2022, the Company concluded that a pre-tax impairment charge in the range of $450 million to $550 million is required to be recognized as of June 30, 2022, in accordance with U.S. generally accepted accounting principles (“GAAP”) related to the accounting for property, plant and equipment. The impairment charge is primarily related to limiting the useful life to 2038, it is not expected to impact Maritza’s ability to perform its obligations under its current PPA through May 2026, nor materially impact Maritza’s cash flows or cash balances.
Management expects to conclude its assessment and finalize the estimation of the impairment charges along with the assessment of the potential impact to income tax expense with the submission of its Form 10-Q for the quarter ending on June 30, 2022.
