Explanatory Note

On July 20, 2022, Olin Corporation (the “Company”) filed a Current Report on Form 8-K (the “Original Report”) reporting the planned retirement of James A. Varilek as the Company’s Executive Vice President & Chief Operating Officer effective November 21, 2022. This Amendment No. 1 on Form 8-K/A amends and supplements the Original Report to provide a revised effective date for Mr. Varilek’s retirement date. Except for the new disclosure set forth herein, this Amendment No. 1 does not amend the Original Report in any way.

Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 20, 2022, James A. Varilek, Executive Vice President & Chief Operating Officer, announced his intention to retire from the Company effective November 21, 2022. On November 2, 2022, Mr. Varilek and the Company agreed to postpone Mr. Varilek’s retirement from his current role to December 31, 2022 so that Mr. Varilek can continue to assist in the transition of his role through the end of 2022.
