Item 2.02 Results of Operations and Financial Condition

On October 29, 2020, Bloom Energy Corporation (the "Company") announced its financial results for the third quarter ended September 30, 2020 and issued a Letter to Shareholders and press release, copies of which are attached hereto as Exhibits 99.1 and 99.2, respectively. The Letter to Shareholders and the press release disclose certain non-GAAP financial measures. A reconciliation to the nearest comparable GAAP equivalent of these non-GAAP measures is contained in tabular form in Exhibit 99.1 and Exhibit 99.2.
