Item 2.02 - Results of Operations and Financial Condition

On August 27, 2020, Okta, Inc. (the "Company" or "Okta") issued a press release announcing its financial results for the fiscal quarter ended July 31, 2020.

A copy of the press release is attached as Exhibit 99.1.
