(b) On September 16, 2019, Avaya Holdings Corp. (the “Company”) announced that Edward Nalbandian would be stepping down from his role as Senior Vice President and President, Services of the Company and will be retiring from the Company, effective as of October 1, 2019. In connection therewith, Mr. Nalbandian’s responsibilities will be reallocated to other members of the senior management team. Mr. Nalbandian will be eligible to receive benefits under the
Avaya Inc. Involuntary Separation Plan for Senior Executives, which is described in the Compensation Discussion & Analysis (“CD&A”) in the Company’s Form 10-K/A filed with the Securities and Exchange Commission on January 25, 2019.
