The Company is not able to meet its filing deadline for its annual report on Form 1-K pursuant to 17 CFR §230.257 due to circumstances relating to coronavirus disease 2019 (COVID-19). The Company has published this fact on its public website and has disclosed that it is relying on §230.257(f). The Company notes its obligation to file its annual report on Form 1-K within 45 days of the original filing deadline. The Company hereby states in good faith that it could not file its annual report on Form 1-K on a timely basis because its auditors were unable to complete the audited financial reports in a timely manner due to circumstances related to coronavirus disease 2019 (COVID-19).
