| Footnote - F1: Reported transaction is an automatically-triggered "sell-to-cover" transaction related to the payment of withholding tax obligations pursuant to the Issuer's policy for tax withholdings associated with Restricted Stock Unit and Performance Unit vesting events. The number of shares "sold-to-cover" to satisfy the withholding tax obligations was not determinable until April 8, 2024. The Reporting Person had no control over the timing of the "sell-to-cover" transactions, which were initiated at the direction of the Issuer.
