Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On July 29, 2022, Fortium Holdings Corp. (the “Company”) filed a Certificate of Correction with the Nevada Secretary of State to correct a scrivener’s error contained in the Certificate of Designation for the Series A Convertible Preferred Stock filed with the Nevada Secretary of State on July 25, 2022, which inadvertently referred to the Company distributing shares of the Company’s common stock to the Company’s shareholders rather than the Ecoark Holdings, Inc. (“Ecoark”) distributing such shares to Ecoark’s shareholders. The Company had previously filed a Current Report on Form 8-K on July 29, 2022 describing the Company’s newly designated Series A Convertible Preferred Stock.
The foregoing description of Certificate of Correction does not purport to be complete and is qualified in its entirety by reference to the Certificate of Correction, a copy which is filed as Exhibit 3.1, to this Current Report on Form 8-K and is incorporated herein by reference.
