Item 5.02.

Departure of Director or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On June 21, 2022, Robert Perkins informed the board of directors (“Board”) of BIGtoken, Inc. (the “Company”) that he is resigning effective immediately, as a member of the Board. Mr. Perkin’s resignation from the Board did not result from any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
