Item 7.01 Regulation FD Disclosure.

On December 20, 2022, NextDecade Corporation issued a press release regarding execution of a liquefied natural gas (“LNG”) sale and purchase agreement with Galp Trading S.A. and its current targeted timing of a positive final investment decision for the first three trains of its Rio Grande LNG export project. A copy of the press release is included as Exhibit 99.1 hereto and is incorporated herein by reference.
