(the "Company") which entitles TCA Fund to that number of votes equal to the number of issued and outstanding shares of the Company's common stock and all other securities, as of the applicable date of determination, on a fully diluted basis, plus one (1) vote. The Series X Preferred Stock is solely voting stock, has no economic rights, and does not convert into common stock of the Company. |

TCA Global Credit Master Fund L.P. is a greater than 10% holder solely of the voting power of Green Innovations Ltd. Mr. Bob Press is the Chief Executive Officer of TCA Fund Management Group, the investment manager of TCA Global Credit Master Fund L.P. |
