On June 14, 2021, Proofpoint, Inc., a Delaware corporation (“Proofpoint”), issued a press release, a copy of which is furnished as Exhibit 99.1 and incorporated by reference into this Item 8.01, announcing that Proofpoint’s board of directors has cancelled the 2021 Annual Meeting of Stockholders previously scheduled for June 15, 2021.
