Item 8.01.

Other Events.

On January 10, 2022, Blackstone Private Credit Fund (the “Fund”) priced offerings of $500,000,000 in aggregate principal amount of its 2.700% notes due 2025 (the “2.700% Notes”) and $650,000,000 in aggregate principal amount of its 4.000% notes due 2029 (the “4.000% Notes,” and together with the 2.700% Notes, the “Notes”), in private placements to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to certain non-U.S. persons outside the United States pursuant to Regulation S under the Securities Act. The 2.700% Notes will mature on January 15, 2025 and may be redeemed in whole or in part at the Fund’s option at any time at par value plus a “make-whole” premium. The 4.000% Notes will mature on January 15, 2029 and may be redeemed in whole or in part at the Fund’s option at any time at par value plus a “make-whole” premium. These offerings are expected to close on January 18, 2022, subject to customary closing conditions.

The Fund expects to use the net proceeds of these offerings for general corporate purposes.
