Item 8.01 Other Events.

On July 7, 2022, Neogen Corporation (“Neogen”) issued a press release announcing the pricing, as of July 6, 2022 of an offering of senior unsecured notes (the “Notes”) and the entry into a credit agreement for senior secured credit facilities by Garden SpinCo Corporation (“SpinCo”), a direct wholly-owned subsidiary of 3M Company (“3M”), that is expected to merge with a wholly-owned subsidiary of Neogen in connection with the previously announced combination of Neogen and the food safety business of 3M in a Reverse Morris Trust transaction.

The Notes have not been and will not be registered under the Securities Act of 1933, as amended (the “Securities Act”), and may not be offered or sold in the United States absent an effective registration statement or an applicable exemption from registration requirements of the Securities Act or any state securities laws.
