Item 8.01Other Events
On November 10, 2022, F. Thomson Leighton, the Chief Executive Officer and member of the Board of Directors of Akamai Technologies, Inc. (the “Company”), entered into a pre-planned stock trading plan providing for a third-party broker to purchase shares
of the Company’s common stock, par value $0.01 per share (“Common Stock”), on his behalf and designed to comply with Rule 10b5-1 of the Securities Exchange Act of 1934, as amended, and the Company’s insider trading policy regarding transactions in the Company’s securities (the “10b5-1 Plan”).
The 10b5-1 Plan entered into by Mr. Leighton allows for the purchase of up to $3,000,000 in shares of Common Stock. Purchases pursuant to the 10b5-1 Plan are expected to begin no earlier than December 12, 2022 after a 30-day waiting period and will terminate no later than June
20, 2023, subject to the terms and conditions of the 10b5-1 Plan.
Transactions made under the 10b5-1 Plan will be disclosed publicly through Form 4 filings with the Securities and Exchange Commission. Except as may be required by law, the Company does not undertake to report on specific Rule 10b5-1 pre-planned stock trading plans of any Company officer or director, nor to report modifications or terminations of the 10b5-1 Plan or the Rule 10b5-1 pre-planned stock trading plan of any Company officer or director.
