   State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F,
10-Q, N-SAR or the transition report portion thereof could not be filed within  
the prescribed time period. (Attach extra sheets if needed.)                    

The report was not filed within the prescribed time due to a misunderstanding.  
Since it is my (Yael Shimor-Golan) first filing I was not aware of the need to  
give filing authorization for "National Financial Services". The Form 10-QSB was
sent to the "National Financial Services" on 11/06/01 and according to my       
understanding was filed already then.
