State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the
transition report or portion thereof, could not be filed within the prescribed time period.

The registrant changed its plan administrator effective
April 1, 2011. In auditing the plan’s
December 31, 2011 financial statements, the independent auditor had to coordinate with the prior
plan administrator and the successor plan administrator as well as several new entities performing
services which heretofore had been performed in their entirety by the prior plan administrator.
Challenges in this process delayed completion of the financial statements and the related audit
report. As a result,
the Registrant was unable to complete the preparation of its
December 31,
2011 Form 11-K within the time period prescribed for such report, without unreasonable effort and
expense. A signed statement of the independent auditor detailing the reasons for its inability to
prepare the plan’s financial statements and the related audit report on or before the original due
date for the Form 11-K is included with this form as
Exhibit 99.
