INFORMATION CONTAINED IN THIS FORM 6-K REPORT
On
June 26, 2020, Castor Maritime Inc. (the
“Company”) completed a public offering (the
“Offering”) of 59,110,000 units
of
the Company, each unit consisting of (i) one common share, par value $0.001 per share (a
“Common Share”) or a pre-funded warrant to purchase one Common Share at an exercise price equal to $0.01 per Common Share (a
“Pre-Funded Warrant”), and (ii)
one Class A Warrant to purchase one Common Share (a
“Class A Warrant”), for $0.35 per unit (or $0.34 per unit including a pre-funded warrant).
At the time of the closing, the underwriters exercised and closed on their over-allotment option, and purchased an
additional 7,710,000 Common Shares and 7,710,000 Class A Warrants.
The aggregate gross proceeds to
the Company from the Offering and the exercise of the underwriters’ over-allotment
option, before underwriting discounts and commissions and estimated expenses payable by
the Company, were approximately $20.7 million.
