Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective February 7, 2022, Zaldwaynaka L. Scott was
elected to the Board of Directors of Commonwealth Edison Company (“ComEd”). Additionally, effective February 10, 2022, Smita Shah was elected to the Board of Directors of ComEd.
Mses. Scott and Shah shall serve until the next annual meeting of shareholders, when the majority shareholder of ComEd elects directors as provided for under Section 7.10(a) of the Illinois Business Corporation Act. Mses. Scott and Shah will receive ComEd’s standard compensation for its directors as disclosed in its annual Information Statement pursuant to Section 14(c) of the Securities Exchange Act of 1934.
