On May 22, 2012, The Estée Lauder Companies Inc. (the “Company”) amended its Amended and Restated Bylaws. The amendments, which allow for electronic transmission of notices and waivers relating to meetings of stockholders and electronic transmission of notices, waivers and consents relating to meetings of the Board of Directors and committees of the Board of Directors, change: Article II (Meeting of Stockholders), Section 4 (Notice of Meeting); Article III (Board of Directors), Section 8 (Notice of Meetings) and Section 12 (Action without Meeting); Article IV (Committees of the Board of Directors), Section 3 (Action by Written or Electronic Consent); and Article XI (Waiver of Notice).
