 PART III. NARRATIVE

     State below in reasonable detail the reasons why Form 10-K, 10-KSB,
11-K, 20-F, 10-Q, 10-QSB, N-SAR or the transition report portion thereof could  
not be filed within the prescribed time period. (Attach extra sheets if needed.)

    As a result of the merger of the Pillsbury 401(k) Savings Plan and
Retirement Savings Plan into the General Mills 401(k) Savings Plan and ongoing  
merger-related transactions through October 2002, additional work was required  
to prepare the financial statements for the Plan. Accordingly, the Plan cannot  
timely file the Annual Report on Form 11-K for the annual period ended May 31,  
2003 without unreasonable effort or expense. The registrant has been working    
diligently to complete all required financial information. The registrant       
believes that it will be able to obtain and file such information by the 15th   
calendar day following the prescribed due date of the Form 11-K.
