5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 8, 2024, Donald C. Brown, a member of the Board of Directors (the “Board”) of The Davey Tree Expert Company (the “Company”), notified the Company of his intention to retire from the Board effective at the conclusion of the Company’s Annual Meeting of Shareholders on May 21, 2024 (the “Annual Meeting”).
Mr. Brown has served on the
Company’s Board since 2016 and currently serves as the Chair of the Audit Committee and as a member of the Compensation Committee. Mr. Brown will continue to serve as a director and on such committees until the Annual Meeting. Mr. Brown’s decision to retire was not associated with or attributable to any dispute or disagreement with the Company, its management or the Board on any matter relating to the Company’s operations, policies or practices or otherwise.
