Item 8.01. Other Events.
On September 22, 2022 (the “Closing Date”), 1095 Broken Sound Pwky LLC (“1095 Broken Sound”), a wholly owned subsidiary of the
Company, consummated the previously disclosed transactions contemplated by that certain Purchase and Sale Agreement, dated as of August 16, 2022, by and between 1095 Broken Sound and ASC Capital LLC (the “Purchaser”) whereby 1095 Broken Sound agreed to sell a certain parcel of real estate including the Company’s headquarters building in Boca Raton, Florida, located at 1095 Broken Sound Parkway, Suite 300, Boca Raton, Florida33487 (the “Property”) to the Purchaser for total consideration of $9.95 million in cash (collectively, the “Transaction”).
On the Closing Date, the Company used the proceeds from the Transaction to repay the remainder of the $7.8 million mortgage note on the Property. The remaining proceeds will be used for general corporate purposes.
