Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Appointment of Director
On March 22, 2024, Mr. W. Brett Smith, age 64, was appointed to the board of directors (the “Board”) of Sunoco GP LLC (the “General Partner”), the general partner of Sunoco LP (the “Partnership”) by the sole member of the General Partner pursuant to the provisions of the Amended and
Restated Limited Liability Company Agreement of the General Partner dated September 25, 2012, as amended. Mr. Smith joins the Board as an independent director.
Further, on March 22, 2024, Mr. Smith was appointed to serve as a member of the audit committee of the Board, effective immediately.
Consistent with other non-employee members of the Board, Mr. Smith will be eligible to receive cash compensation for his service on the Board and to receive initial and annual grants of restricted phantom units under the Partnership’s Long-Term Incentive Plan.
There are no arrangements or understandings with the Partnership, or any other persons, pursuant to which Mr. Smith was appointed as a director of the General Partner. There are no relationships
regarding Mr. Smith that would require disclosure pursuant to Item 404(a) of Regulation S-K.
